These Terms of Service ("Terms") constitute a legally binding agreement between you and Humance Inc., governing your access to and use of the Humance websites, applications, APIs, and related services (collectively referred to as the "Humance Platform"). The terms "Humance," "we," "us," or "our" refer to Humance Inc., a company established under the laws of Delaware, with whom you enter into this agreement.
By accessing or using the Humance Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Humance Platform.
User Types and Purpose of the Humance Platform
2.1 Philanthropists:
2.1.1 Mission: Our mission at Humance is to facilitate positive environmental impact worldwide. Philanthropists on the Humance Platform are individuals who are passionate about environmental causes and wish to support projects aimed at addressing environmental challenges, such as tree planting, plastic waste reduction, and biodiversity conservation.
2.1.2 Platform Access: Philanthropists access the Humance Platform through humance.io. Here, they can browse through various environmental projects, contribute funds directly to projects of their choice, and track the progress of their projects. Philanthropists can create and manage their accounts to build a philanthropist portfolio, view statistics on their contributions, and engage with the community.
2.2 Companies:
2.2.1 Purpose: Companies partnering with Humance are committed to incorporating social impact initiatives into their business practices. Through the Humance network of projects and infrastructure, companies can leverage their resources to support environmental causes and increase the engagement of their users and other key metrics.
2.2.2 Platform Integration: Companies interested in integrating Humance into their applications can create accounts on humance.io and obtain API keys. These API keys enable seamless integration of Humance features into their platforms, allowing them to showcase environmental projects, encourage user engagement, and demonstrate corporate social responsibility.
2.3 Organizations:
2.3.1 Role: Organizations are the driving force behind the environmental projects featured on the Humance Platform. These entities conceive, develop, and implement projects aimed at addressing environmental issues and creating positive change. Organizations raise funds for their projects through the Humance Platform and oversee their execution.
2.3.2 Project Management: Organizations create and manage projects on humance.io, providing detailed descriptions, progress updates, and financial transparency to engage with Philanthropists and Companies. They are responsible for ensuring project integrity, meeting fundraising goals, and delivering tangible environmental outcomes.
Account Registration and Use
3.1 Account Creation:
3.1.1 Philanthropists: Individuals interested in supporting environmental projects can create a Philanthropist account on humance.io. During the registration process, Philanthropists provide necessary information such as name, email address, password they want to use, and so on.
3.1.2 Companies: Companies seeking to integrate Humance into their applications must register for a Company account on humance.io. Account creation involves providing company details, and contact information.
3.1.3 Organizations: Entities wishing to submit environmental projects and raise funds through the Humance Platform can register as Organizations on humance.io. Organizations provide organization details, contact information, and so on. After the verification process, they receive access to their account and the ability to create projects.
3.2 Account Security:
3.2.1 Philanthropists, Companies, and Organizations: Users are responsible for maintaining the security of their accounts and safeguarding their login credentials. Any activity performed using their accounts is their sole responsibility, and they must promptly notify Humance of any unauthorized access or security breaches.
Project Submission and Funding
4.1 Project Submission:
4.1.1 Organizations: Upon registration, Organizations can submit detailed proposals for environmental projects through the Humance Platform. Project submissions include comprehensive descriptions, objectives, timelines, budget breakdowns, and expected outcomes to provide transparency and attract support from Philanthropists and Companies.
4.1.2 Review Process: Submitted projects undergo a review process by the Humance team to assess their feasibility, alignment with environmental goals, and adherence to platform guidelines. Organizations may be requested to provide additional information or revisions before their projects are approved for fundraising.
4.2 Funding Mechanism:
4.2.1 Philanthropic Contributions: Philanthropists can browse through listed projects on the Humance Platform and contribute funds to initiatives aligned with their interests and values. Contributions are securely processed through the platform, and Philanthropists receive updates on the progress and impact of their donations.
4.2.2 Corporate Sponsorship: Companies have the opportunity to sponsor environmental projects featured on the Humance Platform as part of their corporate social responsibility initiatives.
Platform Usage Policies
5.1 Compliance with Applicable Laws:
5.1.1 Legal Obligations: Users of the Humance Platform must comply with all relevant laws, regulations, and industry standards governing their activities, including but not limited to data protection, fundraising, and environmental conservation laws.
5.1.2 User Content: Users are solely responsible for the content they submit, including project descriptions, updates, and comments. Content must not infringe upon the rights of others, contain misleading information, or promote illegal activities.
5.2 Prohibited Activities:
5.2.1 Unauthorized Access: Users must not attempt to access restricted areas of the Humance Platform or interfere with its operation, security, or functionality. Unauthorized use or distribution of login credentials is strictly prohibited.
5.2.2 Abuse and Harassment: Users must conduct themselves respectfully and refrain from engaging in abusive, harassing, or discriminatory behavior towards others on the platform. Any form of harassment or intimidation will not be tolerated.
Data Privacy and Security
6.1 Data Collection and Usage:
6.1.1 Personal Information: Humance collects and processes personal information from users by its Privacy Policy. Users consent to the collection, storage, and use of their data for the purposes outlined in the Privacy Policy, including account management, project support, and communication.
6.1.2 Data Protection: Humance employs industry-standard security measures to protect user data from unauthorized access, disclosure, alteration, or destruction. Users can access, update, or delete their personal information through their account settings or by contacting Humance support.
6.2 Confidentiality:
6.2.1 Project Information: Organizations submitting project proposals may designate certain information as confidential if necessary. Humance respects the confidentiality of such information and ensures that it is shared only with authorized personnel involved in the project review and fundraising process.
Dispute Resolution and Legal Matters
7.1 Dispute Resolution:
7.1.1 Mediation: In the event of disputes or disagreements between users, Humance encourages parties to resolve issues amicably through negotiation and mediation. If a resolution cannot be reached, users may pursue other legal remedies available to them.
7.1.2 Governing Law: These Terms of Use are governed by the laws of [Jurisdiction], without regard to its conflict of law provisions. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts in [Jurisdiction].

Termination

9.1.1 Voluntary Termination: Users may terminate their accounts and cease using the Humance platform at any time by following the account closure procedures provided on the platform.
9.1.2 Effect of Termination: Upon termination, users remain responsible for any outstanding obligations incurred before the termination date. Humance reserves the right to retain and use user information as necessary for legal compliance or business purposes.
9.2 Termination by Humance:
9.2.1 Breach of Terms: Humance reserves the right to suspend or terminate user accounts and access to the platform in the event of a breach of these Terms of Use or violation of applicable laws.
9.2.2 Effect of Termination: In the event of termination by Humance, users may lose access to their account and any associated data or content. Users are advised to retrieve any important information before termination.
Miscellaneous
10.1 Entire Agreement:
10.1.1 Binding Agreement: These Terms of Use constitute the entire agreement between users and Humance regarding the use of the platform, superseding any prior agreements or understandings.
10.2 Severability:

10.4.1 Non-Assignment: Users may not assign or transfer their rights or obligations under these Terms of Use without the prior written consent of Humance. Humance may freely assign its rights and obligations under these Terms of Use.

12.2 Notification: Humance may notify users of any material changes to these Terms of Use through the platform or via email. Continued use of the platform after such modifications constitutes acceptance of the revised Terms of Use.
Interpretation
13.1 Headings: The headings used in these Terms of Use are for convenience only and shall not affect the interpretation of the provisions herein.
13.2 Language: These Terms of Use may be translated into other languages for the convenience of users. In the event of any discrepancy between the translated version and the English version, the English version shall prevail.
Case studies
14.1 Data Usage: By accessing and utilizing the service, Companies, as well as Organizations raising funding for their projects through Humance, explicitly consent to grant Humance the unrestricted right to utilize any outcomes, findings, data, insights, and outputs derived from the social features built by Companies using Humance infrastructure and from the fundraising activities of Organizations for promotional and marketing purposes. This includes, but is not limited to, the publication of "Case Studies".
14.2 Use of Materials: Companies and Organizations acknowledge and agree that Humance may utilize their name, logo, trademark, and associated information in the website, promotional materials, marketing campaigns, and public communications, unless otherwise expressly prohibited or restricted in a separate, mutually agreed-upon agreement.
Feedback
15.1 User Feedback: Humance welcomes feedback, comments, and suggestions from users regarding the platform. By providing feedback, users grant Humance the right to use such feedback for any purpose without compensation or attribution.
Entire Agreement
16.1 Entire Agreement: These Terms of Use, including any policies or guidelines referenced herein, constitute the entire agreement between users and Humance regarding the use of the platform, superseding any prior agreements or understandings.
Severability
17.1 Severability: If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver
18.1 Waiver: The failure of Humance to enforce any right or provision of these Terms of Use shall not constitute a waiver of that right or provision unless acknowledged and agreed to by Humance in writing.
Assignment
19.1 Assignment: Users may not assign or transfer their rights or obligations under these Terms of Use without the prior written consent of Humance. Any attempted assignment or transfer in violation of this provision shall be null and void.
